These Terms govern your use of the DealCollab platform. By creating an account or submitting a mandate, you agree to them.

1. What DealCollab is — and is not

DealCollab is neutral discovery infrastructure for mid-market M&A and strategic transactions. We match structured mandates and surface aligned counterparties.

DealCollab is not a broker, investment advisor, valuer, merchant banker, or intermediary in any transaction. We do not represent any party, participate in negotiations, conduct due diligence, or handle transaction funds. We do not provide investment, legal, tax, or financial advice. Nothing on the platform is a recommendation to enter any transaction.

2. Eligibility

You must be at least 18 years old and using the platform in a professional or business capacity. By registering, you confirm you have authority to act for any client or entity whose mandate you submit.

3. Accounts and verification

  • You must provide accurate registration details and complete KYC when asked.
  • KYC verifies your identity. It does not verify the accuracy of business or deal information you or any counterparty submits.
  • You are responsible for all activity under your account. Keep credentials confidential.
  • We may suspend or terminate accounts for false information, fraudulent activity, or breach of these Terms.

4. Mandates and your responsibilities

  • You are solely responsible for the accuracy of every mandate you submit and for having your client's authorisation to submit it.
  • Do not submit mandates you are not authorised to represent, information that breaches a confidentiality obligation you owe to others, or fabricated or misleading deals.
  • Where multiple advisors submit the same deal, each advisor remains responsible for their own mandate and client relationship. DealCollab does not adjudicate deal ownership or exclusivity.

5. Matching and no guarantees

  • Matching is automated and probability-based. We do not guarantee any match, any number of matches, any timeline, or any transaction outcome.
  • Match rationale is indicative. You must independently verify all information about any counterparty before engaging or transacting.
  • Any transaction you enter following an introduction on DealCollab is strictly between you and the counterparty. DealCollab is not a party to it and bears no responsibility for its terms, performance, or outcome.

6. Confidentiality and identity

  • Counterparty identity and contact details remain hidden until an Expression of Interest (EOI) is sent and approved by the receiving party.
  • You agree not to attempt to identify anonymised counterparties, circulate match information outside the platform, or use platform data for any purpose other than evaluating a potential transaction.

7. Tokens and payments

Token pricing and rules are set out in the Tokens & Payments page, which forms part of these Terms. In summary: submitting mandates and receiving matches is free; sending an EOI consumes tokens, deducted only when the counterparty approves; tokens are non-refundable once deducted and are not money, deposits, or investments. We may change token pricing prospectively with notice.

8. Acceptable use

You will not: misuse the platform to harvest data or contacts; upload malware or attempt to breach security; harass other users; submit unlawful content; or use the platform for money laundering or any illegal purpose.

9. Intellectual property

The platform, its software, and its content (excluding your mandate data) belong to DealCollab. Your mandate data remains yours; you grant us a licence to process it to operate the service as described in the Privacy Policy.

10. Limitation of liability

To the maximum extent permitted by law, DealCollab's total liability for any claim arising from the platform is limited to the amount you paid us in the 6 months before the claim. We are not liable for indirect or consequential losses, lost profits, lost deals, or the acts or omissions of any user or counterparty.

11. Indemnity

You will indemnify DealCollab against claims arising from your breach of these Terms, your mandates, or your transactions with counterparties.

12. Termination

You may stop using the platform at any time and may request deletion of your mandates. We may suspend or terminate access for breach. Sections 5, 6, 10 and 11 survive termination.

13. Changes

We may update these Terms. Material changes will be notified in-app. Continued use after notice means acceptance.

14. Governing law

These Terms are governed by the laws of India. Courts at [CITY], India have exclusive jurisdiction.
